Brussels found no competition concerns, according to Premium Beauty News, pointing to two factors: Eurazeo already held majority control of Aroma-Zone before the transaction, so the change in ownership does not meaningfully alter market concentration, and Eurazeo is set to reinvest in the company alongside the new buyer rather than exit entirely.

That reinvestment matters for how the deal is likely to play out inside Aroma-Zone. A private equity seller who keeps a stake after handing over control typically signals continuity in strategy and management, and it gives Eurazeo a claim on the growth trajectory that Partners Group now steers.

Partners Group is a Swiss investment firm, a detail the European Commission's review noted as part of its concentration analysis. Swiss-based funds fall under the EU merger regulation whenever the target and the deal's scale meet the thresholds that trigger Brussels notification, which is why this relatively contained ownership change still required a formal filing and clearance.

Aroma-Zone sells natural and DIY cosmetics ingredients, essential oils and formulation supplies directly to consumers, a niche that has expanded as shoppers turned to making their own skincare and haircare products at home. The company's growth under Eurazeo's ownership is presumably what drew Partners Group's interest in taking the lead role.

With regulatory clearance now secured, the transaction can move to closing, formally transferring majority control of Aroma-Zone from Eurazeo to Partners Group while leaving Eurazeo with a reinvested minority position in the business it previously controlled outright.
